Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and AISights ("Company", "we", "us", or "our") regarding your access to and use of the AISights platform at https://www.getaisights.com and any related services (collectively, the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately. We reserve the right to update these Terms at any time. We will notify you of material changes by email. Your continued use of the Service after such notification constitutes acceptance of the updated Terms.

User Representations

By using the Service, you represent and warrant that: (1) you are at least 18 years of age; (2) you have the legal capacity to enter into these Terms; (3) you are not located in a jurisdiction where the distribution or use of the Service would be contrary to law or regulation; (4) you will not access the Service through automated or non-human means; (5) all registration information you submit is accurate, current, and complete; and (6) you will maintain the accuracy of such information and promptly update it as necessary. AISights is designed for business use and is intended solely for users who are 18 years of age or older. We do not knowingly permit use of the Service by anyone under 18.

User Registration

You may be required to register for an account to access certain features of the Service. You agree to keep your password confidential and are responsible for all activity that occurs under your account. You must notify us immediately at team@getaisights.com of any unauthorized use of your account. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable. You may not use another user's account without permission.

Purchases and Payment

All purchases are made in United States Dollars (USD). We accept Visa, Mastercard, American Express, and Discover. By providing a payment method, you represent that you are authorized to use the payment method and authorize us to charge your payment method for any paid plans you select. All fees are exclusive of applicable taxes, which we will charge where required by law. If a payment fails, we reserve the right to suspend or terminate your access to the Service until payment is resolved. Payments are processed through our third-party payment processor. We do not store your full credit card details.

Subscriptions and Free Trial

AISights offers the following monthly subscription plans billed in USD: Local at $49 per month, Growth at $99 per month, Pro at $149 per month, and Agency at $399 per month. All subscriptions are billed on a recurring monthly basis. We offer a 7-day free trial for new subscribers. A valid credit card is required to begin your free trial. If you do not cancel before the end of your 7-day trial period, you will be automatically charged the applicable subscription fee and your subscription will continue on a monthly basis until cancelled. You can cancel your subscription at any time by logging into your account and following the cancellation steps. Cancellation takes effect at the end of your current billing period and you will retain access to the Service until that date. We reserve the right to modify subscription pricing at any time with reasonable notice to existing subscribers.

Refund Policy

Refunds are available at the sole discretion of AISights. If you believe you are entitled to a refund for unused service periods, please contact us at team@getaisights.com within 7 days of the charge in question. We will review your request and respond within 5 business days. We are under no obligation to provide refunds and will evaluate each request on a case-by-case basis. Free trial periods are not eligible for refunds. Partial month refunds are not available except where required by applicable law.

Intellectual Property

The Service and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof — are owned by AISights, its licensors, or other providers and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business purposes. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as permitted by these Terms. AISights, the AISights logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AISights. You must not use such marks without our prior written permission.

Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make it available. As a user of the Service, you agree not to: (1) systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, database, or directory without our written permission; (2) use the Service to advertise or offer to sell goods and services; (3) circumvent, disable, or otherwise interfere with security-related features of the Service; (4) engage in unauthorized framing of or linking to the Service; (5) trick, defraud, or mislead us or other users; (6) use the Service in a manner inconsistent with any applicable laws or regulations; (7) upload or transmit viruses or any other disruptive or harmful material; (8) use the Service to send unsolicited communications; (9) attempt to impersonate another user or person; (10) use the Service to compete with us or to build a competing product; or (11) use automated scripts or bots to access the Service without our express written consent.

Third-Party Websites and Content

The Service may contain links to third-party websites, services, or content that are not owned or controlled by AISights. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. We do not warrant the offerings of any such third parties or their websites. We strongly advise you to read the terms of service and privacy policies of any third-party websites you visit. AISights does not display third-party advertisements within the Service. Any links to external sites are provided solely for your convenience and informational purposes.

Services Management

We reserve the right, but not the obligation, to: (1) monitor the Service for violations of these Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms; (3) in our sole discretion and without limitation, refuse, restrict access to, limit availability of, or disable (to the extent technologically feasible) any feature or portion of the Service; (4) in our sole discretion and without limitation, notice, or liability, remove from the Service or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Service in a manner designed to protect our rights and property and to ensure proper functioning of the Service.

Privacy Policy

We care about data privacy and security. By using the Service, you agree to be bound by our Privacy Policy, which is incorporated into these Terms. Please review our Privacy Policy carefully. The Privacy Policy governs our collection, use, and disclosure of your personal information. If you reside in certain regions, additional rights may apply to you as described in the Privacy Policy.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may do so by logging into your account and following the account deletion steps, or by contacting us at team@getaisights.com. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AISIGHTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF USE OF THE SERVICE IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE.

Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AISIGHTS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT YOU PAID TO AISIGHTS IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless AISights and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to any use of the Service's content other than as expressly authorised in these Terms, or your use of any information obtained from the Service.

Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Toronto, Ontario, Canada, and you hereby consent to the personal jurisdiction of such courts.

Dispute Resolution

Before filing any formal legal action, you agree to attempt to resolve any dispute informally by contacting us at team@getaisights.com. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, either party may proceed to binding arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be finally settled by binding arbitration in Toronto, Ontario, Canada. The arbitration shall be conducted by a single arbitrator, and the proceedings shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. YOU AND AISIGHTS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service. We may also update these Terms from time to time. When we make material changes, we will notify you by sending an email to the address associated with your account. Your continued use of the Service following notification of changes constitutes your acceptance of the revised Terms.

Miscellaneous

These Terms constitute the entire agreement between you and AISights with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties. Our failure to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. These Terms, and any rights or licences granted hereunder, may not be transferred or assigned by you without our prior written consent. There are no third-party beneficiaries to these Terms.
